Japanese e-commerce firm Rakuten announced on Tuesday it is acquiring Ebates for $1 billion.
The acquisition, which Rakuten hinted at last week, is part of the Japanese company?s push to grow its base beyond its domestic market and hopefully, become a global player. Having made some $1.2 billion acquisitions to date along these lines, this is Rakuten?s most ambitious move to date.
However, investors are dubious that the company can absorb yet another foreign acquisition, much less one the size of Ebates, despite Rakuten?s strong cash position.
Then there is the ever-present Amazon, which dominates the e-commerce market in the U.S. Few believe it will falter in the face of Chinese giant Alibaba, much less a Rakuten-Ebates combo.
Rakuten Goes Forth
Not surprisingly, Rakuten says it is undaunted. For starters, it has assembled a very interesting mix of acquisitions. There is messaging app Viber, which it purchased for $900 million in February, the Canadian ebook offering Kobo, Spanish video service Wuaki.tv, Viki, a digital content platform and Buy.com.
Now it has picked up Ebates.

Reasons for Differences
In the fiscal year ended December 31, 2020, reflecting high levels of growth of Rakuten Ichiba, and Rakuten 24 which provides on-line sales of drugs and daily necessities, revenue was 657,434 million yen (up 21.4% year-on-year).
Operating income was 4,204 million yen (compared with a loss of 5,655 million yen in fiscal year ended December 31, 2019), due to the strong growth of e-Commerce businesses, and despite an increase in upfront investments in the logistics business, such as capital expenditure for logistics centers and delivery fees. In addition, the Company accounted income tax expense of (33,767) million yen, resulting in net profit up 239.7% year-on-year to 53,646 million yen, which caused a difference in earnings between the two fiscal years.

Ligado Networks plans to take the Rakuten Communications Platform (RCP) for a spin, agreeing to co-develop a 5G mobile private network solution for enterprises using Rakuten?s open RAN approach and Ligado?s licensed L-band spectrum.
Ligado already operates mobile satellite services (MSS) in North America and said its approach for private networks includes a combination of satellite and terrestrial connectivity.
This year ?we are aiming to sign the first RCP deal and deployment out of Japan and most importantly we are further planning to accelerate Japan network deployment and reach 96% PoPs coverage by 2021,? Amin said during the earnings presentation.
Rakuten?s presentation indicated 20 potential customers in the U.S. for its RCP.
?We have driven the discussion in the telecom world on the necessity of Open RAN architecture and unlocked the mystery of radio. Not only did we build the 4G/5G network with O-RAN, we also delivered with performance and quality,? Amin said.

According to the World Bank, Japan has nearly 180 million mobile subscriptions. For Rakuten to double the revenues it had in 2019, it would require around 35.5 million new mobile subscribers. This is approximately 19.6% of the total addressable market. We can conclude that if Rakuten Mobile manages to capture nearly 20% of the addressable market. If so the company will be able to increase its revenues by at least 100%.
The company has managed to increase revenues and cash flows from operations at a fast pace and since the announcement in 2017, has been deploying capital to expand into mobile. Once the infrastructure is in place, Rakuten will become a more attractive company. By producing much more free cash flow, there is an upside potential in the stock price. The balance sheet currently holds over ¥2,296 Billion in cash and should provide enough safety in the short term until the company completes its mobile infrastructure and unlocks a new revenue stream.
The main concern with Rakuten has been the debt it has accumulated over the recent years. At the end of the second quarter, the total long term debt amounted to slightly over ¥2,069 Billion. This puts some pressure on the company, as it expands operations. The company has exceeded the expectations deploying 4,738 of the 4,400 initially planned base stations, but had to delay its 5G launch due to COVID-19. It is still unclear what kind of margins Rakuten Mobile will be able to achieve, given that further capex will be needed to complete the network?s infrastructure. It is also dependent on the future customer acquisition costs. Adding to that competitors will eventually change the pricing structure for their plans. In order to be more competitive, and prevent Rakuten from gaining any market share.
With the launch of the Mobile segment, the company is expected to grow revenues at a fast pace. Given the growth prospects, it seems undervalued. Ride-hailing app Cabify is to offer a car-share service to its users in Madrid via a deal with car-sharing company Wible.
Reuters reports that Wible's plug-in hybrid vehicles in the Spanish capital will be available to users of the Cabify app for per-minute rental.
Wible's prices start at ?0.25 a minute up to ?6 an hour and users can go outside of Madrid for ?65 a day with 100km included.
The Cabify service is active throughout South America, as well as Spain and the Dominican Republic.
